This is a legal agreement between you or your company, firm or other organisation (collectively “You”) and Reeldeal ltd. (hereinafter referred to as “Reeldeal”). If you are entering into this agreement on behalf of your employer, the same rights, limitations and restrictions on the use of the Licensed Content set forth below shall apply to your employer and you. Should you cease working for your employer, your employer (but not you) may continue to use the Licensed Content under the terms of this Agreement. You will be required to agree to this agreement when purchasing a license to use this content and such acceptance shall from a binding agreement between you and reeldeal. This agreement maybe be updatd by reeldeal and posted on this website.
The term “Licensed Content” shall mean video, motion picture footage, photographs, media project files and/or other visual works generated optically, electronically, digitally or by any other means, which is licensed to you, by Reeldeal under the terms of this Agreement.
Please read this agreement in its entirety before you download or use any Licensed Content. By confirming the purchase of the Licensed Content or downloading the Licensed Content you have selected from this website you agree to be bound by the terms of this Agreement and the Licensed Content usage restrictions contained herein. If you do not agree, please discontinue using the site and the Licensed Content.
to the terms and conditions of this Agreement, Reeldeal grants to You a
(a)Advertising and promotional materials.
(b)Online or other multimedia content including online advertisement and web page design (provided that the Licensed Content is at a resolution no greater than 640 X 480 pixels and 72 dpi and cannot be downloaded or copied by any third party).
(c)Broadcasting, film / video / DVD.
(d)Publishing and packaging.
(e)Materials for personal use,
1.2 You may create a digital library, network configuration or similar asset management system to allow the Licensed Content to be used by employees and direct clients provided however that the use of the Licensed Content is limited to no more than 10 individual users. You must contact Reeldeal to obtain Extra License for each additional user prior to any use by such user.
1.3You may change, crop and manipulate the Licensed Content, or use the Licensed Content in any other manner only if approved in writing by Reeldeal.
1.4All Licensed Content from Reeldeal is proprietary and copyrighted. All rights are reserved by Reeldeal. This Agreement is a license and is not a sale, no rights may be granted to the Licensed Content other than the right to use the Licensed Content as part of a product or design. This Agreement is valid with respect to the Licensed Content you have purchased and only if you have paid the applicable fee. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to comply with this Agreement.
You may NOT:
2.1Sublicense,
2.2Use the Licensed Content as the principle component of commercial products where the Licensed Content make up a significant part of the
2.3Copy or publish any of the Licensed Content to a network or bulletin board, or otherwise distribute or allow any of the Licensed Content to be distributed to or used by anyone other than the ten (10) authorised users. If the Licensed Content are to be used by more than ten (10) users, You must purchase Extra License right from Reeldeal.
2.4Use the Licensed Content in a product or service (ie; mobile phone device) in a way that would allow any third party to download, extract or access the Licensed Content as a standalone file.
2.5Display the Licensed Content in any digital format or for any digital use at a resolution greater than 72 dpi. In doing so will be viewed as an attempt to distribute the Licensed Content in violation of this Agreement.
2.6Remove any copyright, trademark or watermark from any place where it appears on the Licensed Content.
2.7Use the Licensed Content, or any part of the Licensed Content, as part of a trademark, service mark or logo.
2.8Use the Licensed Content in any way that could be considered defamatory, pornographic, libellous, immoral, obscene or fraudulent, or otherwise unlawful manner, including but not limited to infringing any third party intellectual property or privacy rights, whether directly or in context or juxtaposition with other materials.
2.9Use the Licensed Content featuring a model is used in a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service, and/or if the depiction of the model in the Licensed Content would be unflattering or unduly controversial to a reasonable person, unless each such use accompany with a statement indicating that the person is a model and the Licensed Content is being used for illustrative purpose.
Your right to use the Licensed Content terminates automatically without notice from reeldeal if you violate any part of this Agreement. Upon termination, you must immediately stop using the Licensed Content, and shall destroy all Licensed Content or copies thereof. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to abide by the terms of this Agreement.
You agree to indemnify, defend, save and hold reeldeal and its licensors and contributors and its resellers, harmless from and against any liability, cost, fee, expense, loss, judgment, claim or damage claimed by any third party (including reasonable legal fees) arising or resulting from any breach, violation of, or failure to fulfill, any representation, warranty, covenant or agreement made herein by you or arising out of any use of Licensed Content provided to you, including from the use of Licensed Content in breach of this Agreement; The use of Licensed Content otherwise than in accordance with the rights granted to you herein; The use of Licensed Content in such a manner that violates or infringes any right of another person, including the use of Licensed Content without appropriate model releases, consents or waivers of moral rights, as may be required or desirable or necessary for such use; and the unauthorized use by any third party to which you may have supplied Licensed Content provided by Reeldeal.
Reeldeal warrants that it has all necessary rights and authority to enter into and perform this Agreement. reeldeal warrants the digital copy of the Licensed Content in the form duly purchased by you to be free from technical defects for ninety (90) days from the date of purchase. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the digital copy of the Licensed Content. Reeldeal shall not be liable if defects arise as a result of any modification, variation or addition to the Licensed Content not performed by Reeldeal or caused by any abuse, corruption or incorrect use of the Licensed Content with equipment or software which is incompatible.
All Licensed Content and media provided to you by Reeldeal are provided "as is" without any warranties or conditions of any kind. Reeldeal makes no representations with respect to any Licensed Content, and, to the maximum extent allowed by applicable law, disclaims all representations, warranties, guarantees and conditions of any kind, express and implied, regarding the Licensed Content, including without limitation, all representations, warranties, guarantees or conditions regarding
Content and Reeldeal gives no warranty as to the accuracy or authenticity of the Licensed Content or any description of them or the identification of persons, objects or scenes appearing in them and shall not be liable to you for any of the foregoing. You are responsible for examining any Licensed Content before effecting reproduction. Reeldeal and its licensors shall not be liable for any damage suffered by you or any third party arising from any defect or alleged defect in any Licensed Content or its metadata or in any way from its reproduction.
The representations and warranties made by reeldeal in this Agreement apply only to the Licensed Content as delivered by reeldeal and its licensors and will be invalid if the Licensed Content is used by you in any manner not specifically authorized in the Agreement or if you is otherwise in breach of this Agreement.
Neither Reeldeal nor its licensors shall be held liable for any indirect, consequential, punitive, exemplary or incidental damages arising out of, or the inability to use the Licensed Content, even if Reeldeal has been advised of the possibility of such damages. Reeldeal's liability to you shall not exceed the amount you originally paid for the Licensed Content.
All rights to the Licensed Content are owned by reeldeal and its licensors and are protected by international copyright laws, international treaty provisions and other applicable laws. Reeldeal and its licensors retain all rights not expressly granted under this Agreement.
If any part of this Agreement is held invalid, it will not affect the validity of the remaining terms of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement represents the entire Agreement between the parties, the terms or conditions may not be amended except made in writing and signed by an authorised representative of both parties.
This Agreement is governed by the laws of England and Wales whose courts are the courts of exclusive jurisdiction. Reeldeal shall have the right to bring proceedings in any jurisdiction to obtain injunctive or other relief against you in the event that, in the opinion of Reeldeal such action is necessary.
